> Insolvency & Restructuring

Insolvency law has seen tremendous changes in recent years. It takes great skill and experience to sieve through the myriad of information to arrive at legal solutions that are both practical and meet your business needs.

We have been at the forefront in advising Malaysian and foreign companies in some of the largest corporate and debt restructuring cases. In addition to this, we have pioneered new solutions and structures that have not only stood the test of time, but are also acknowledged by the courts.

> Winding-up

Our success in this area is evident by our involvement in many definitive cases. We have wound up foreign companies operations in Malaysia, and taken action on behalf of companies facing liquidation to recover sufficient funds to enable a permanent stay on the liquidation proceedings.

> Sales of non-performing loan portfolios

Having represented both vendors and purchasers, our experience covers the whole spectrum of this area – we conduct due diligence on the portfolios on sale, negotiate and draft the relevant agreements, structure suitable corporate entities to handle the portfolios and obtain vesting orders from the courts to transfer the rights in the portfolios from the vendors to the purchasers.

> Receivership

The dynamic nature of the receivership laws can be challenging for the receivers and managers. Keeping in constant touch with these changes makes us well-positioned to advise our clients to take advantage of the benefits and avoid the pitfalls of the various legislations available.

> Restructuring

To provide effective counsel in this area, our lawyers keep regular contacts with Bursa Malaysia (the Malaysian Stock Exchange) and the Securities Commission on the listing rules and guidelines. We have been actively involved in many major restructuring projects such as converting public listed companies to private companies and procuring court sanctions for capital reduction to enable major stakeholders to gain control over public listed companies.
